Copyright Protection for SmartLink™ Software Tool in Nicaragua

This document outlines the copyright protection policies and practices for the SmartLink™ software tool, developed by SmartMart Holdings S.A. ("SmartMart"), with specific reference to the legal framework of Nicaragua.

1. Copyright Ownership

The software code, including all associated components, algorithms, scripts, and related documentation created and developed by SmartMart Holdings S.A., shall remain the exclusive property of SmartMart Holdings S.A. This includes the SmartLink™ tool’s backend code, frontend interfaces, API integrations, libraries, frameworks, databases, and any other proprietary software developed as part of SmartLink™.

Under Nicaraguan law, the software and all associated materials are protected by copyright upon their creation, without the need for formal registration. However, formal registration of the copyright is encouraged to establish a public record and to enhance the ability to enforce intellectual property rights.

2. Copyright Registration in Nicaragua

SmartMart Holdings S.A. will register the source code and any related creative works of the SmartLink™ tool with the Nicaraguan Directorate General of Intellectual Property (DNDA). This step ensures formal recognition of copyright ownership and the exclusive rights associated with the SmartLink™ software tool under Nicaraguan law. Registration serves as an official record and is beneficial in case of disputes regarding ownership or infringement.

3. Copyrighted Materials

In addition to the software code, SmartMart Holdings S.A. also asserts copyright over the following related materials:

• User Manuals & Documentation: All written content, instructions, and user guides for the SmartLink™ tool, which are original works of authorship.
• Graphics & User Interface Design: Any design elements, interface layouts, and visual representations associated with the SmartLink™ tool, including icons, buttons, and logos.
• Marketing Materials: Any brochures, promotional materials, advertisements, or other content created for the marketing or advertisement of the SmartLink™ tool.
• Training Materials: Any training videos, slideshows, or instructional resources designed for users of the SmartLink™ tool.

4. Rights Reserved

SmartMart Holdings S.A. retains all exclusive rights to the SmartLink™ software tool, including the right to:

• Reproduce, distribute, or publicly perform the software code and documentation in any form.
• Modify, adapt, or create derivative works based on the SmartLink™ software.
• Publicly display or perform the software and related materials.
• License, sell, or assign rights to the software and its related works to third parties.

These rights are granted under Nicaraguan copyright law, which ensures that no one can reproduce or distribute the SmartLink™ software without prior authorization.

5. License to Use

SmartMart Holdings S.A. may grant limited, non-exclusive licenses for the use of the SmartLink™ tool through separate licensing agreements. These licenses shall be governed by the terms outlined in the licensing agreements and will comply with the legal requirements under Nicaraguan intellectual property law. Unauthorized use, copying, or distribution of the SmartLink™ software outside of the granted license constitutes copyright infringement.

6. Protection and Enforcement

SmartMart Holdings S.A. will actively monitor the market for any unauthorized use or infringement of its copyrighted materials within Nicaragua. If infringement is detected, SmartMart Holdings S.A. will pursue legal action under Nicaraguan copyright law, including:

• Cease-and-desist orders: Sending formal notices demanding the immediate cessation of any infringing activities.
• Civil litigation: Filing lawsuits for damages and seeking remedies such as injunctions or compensation for losses resulting from unauthorized use.
• Criminal action: In severe cases of piracy or large-scale infringement, SmartMart may involve local authorities to enforce its rights.

7. International Protection

In addition to registering the copyright in Nicaragua, SmartMart Holdings S.A. may seek international copyright protection through treaties such as the Berne Convention for the Protection of Literary and Artistic Works, which provides protection in member countries, including those that are signatories of the convention.

8. Duration of Protection

In Nicaragua, the copyright protection for software lasts for the lifetime of the author plus 50 years after their death. For corporate authorship, the protection lasts for 50 years from the date of creation or publication, whichever comes first.
